Terms and Conditions for Priory Carpets & Flooring

​​These Terms and Conditions apply to all contracts for the supply of flooring goods and the

arrangement of related installation services by Priory Carpets & Flooring (referred to as "the

Company", "we", "us" or "our").

1. Application of Terms and Statutory Rights

1.1 These Terms apply to all quotations, orders, and contracts entered into by the Company.

1.2 Nothing in these Terms affects your statutory rights under the Consumer Rights Act

2015.

1.3 Goods supplied by the Company must be as described, of satisfactory quality, and fit for

purpose. Installation services arranged by the Company must be carried out with reasonable

care and skill by independent fitters.

2. Quotations, Estimates and Pricing

2.1 All quotations and estimates are based on prices current at the date of issue and are not

binding unless expressly stated otherwise in writing.

2.2 The Company reserves the right to make fair and reasonable price adjustments to reflect

changes in supplier pricing, availability, specifications, or costs occurring between the date

of quotation and the date of invoice or payment.

2.3 Quotations are valid for 30 days unless stated otherwise.

3. Orders and Specifications

3.1 Orders become binding once accepted by the Company.

3.2 All measurements, quantities, and specifications are based on information available at

the time of quotation and may be subject to adjustment following site inspection.

3.3 You are responsible for ensuring access, suitability of subfloors, clearance of furniture

and belongings, and removal of existing flooring unless otherwise agreed in writing.

4. Delivery, Storage and Timing

4.1 Unless expressly agreed in writing, time is not of the essence of the contract.

4.2 The Company will use reasonable endeavours to meet requested delivery or installation

dates but does not guarantee specific dates or times.

4.3 The Company is not liable for delays caused by supplier issues, transport disruption,

weather, fitter availability, site conditions, or other matters beyond its reasonable control.

4.4 Where goods are delivered but installation is delayed at your request, the Company

reserves the right to charge reasonable storage and handling fees.

5. Cancellations and Returns

5.1 Orders may be cancelled before dispatch, subject to supplier acceptance and a

reasonable cancellation or restocking charge.

5.2 No returns are accepted for bespoke, made-to-order, or cut goods unless faulty.

6. Colour, Design and Batch Variation

6.1 The Company will use reasonable endeavours to supply goods matching samples or

displays; exact colour, pattern, or shade matching cannot be guaranteed.6.2 Variations may occur between batches, between rooms, and on stairs, landings, or multi-

directional installations.

6.3 Certain products, including printed, patterned, looped, or sculpted carpets, are

particularly susceptible to visible variation, which does not constitute a defect.

7. Pile Pressure, Shading and Appearance

7.1 All textile floor coverings may show shading, tracking, flattening, pile pressure, or light/

dark patches due to pile direction, lighting, or usage.

7.2 These are inherent product characteristics and not manufacturing faults.

7.3 The Company cannot accept liability for complaints arising solely from these effects.

8. Role of the Company and Installation Services

8.1 The Company acts solely as an agent and coordinator in arranging installations with

independent, self-employed fitters. The Company does not provide installation services

itself.

8.2 Any installation contract is entered into directly between you and the fitter (or verbally

authorised by you via the Company).

8.3 Fitters are not employees, workers, agents, or representatives of the Company. They are

solely responsible for the standard, quality, safety, compliance with installation standards,

and completion of their work.

8.4 Fitters provide their own tools, equipment, insurance, and handle their own tax/National

Insurance obligations.

8.5 Payment for installation (labour costs) is made directly to the fitter upon completion

unless alternative arrangements are agreed with the fitter in advance. Labour quotes are

estimates and may vary for additional works.

8.6 The Company may charge a separate administration or coordination fee.

8.7 Raise installation workmanship concerns directly with the fitter first; the Company may

assist in liaising but is not responsible for resolving disputes.

9. Subfloors, Preparation and Additional Works

9.1 Labour quotations assume areas are clear of furniture/belongings, existing flooring is

removed, reasonable access is provided, and suitable power/lighting/working conditions

exist. If not, fitters may charge extra or reschedule.

9.2 Unless included in the quotation, labour costs exclude easing/trimming doors, joinery/

carpentry/plumbing/electrical works, removal/refitting of toilets/appliances/fixtures,

subfloor repairs, or unforeseen site conditions.

9.3 Fitters may refuse installation if subfloors/site conditions (e.g., moisture, defects,

structural issues) are unsuitable and recommend preparation works at additional cost

payable directly to them. The Company accepts no responsibility for such delays or costs.

10. Payment Terms

10.1 The total amount on the Company's invoice for goods is due in full on or before supply

unless otherwise agreed in writing.

10.2 The Company may withhold delivery or installation if payment is not received.

​

11. Retention of Title

11.1 Ownership of goods remains with the Company until full payment.

11.2 Until title passes, you may not sell, assign, or dispose of the goods.

11.3 The Company may recover unpaid goods and associated costs.

12. Interest and Administration Charges

12.1 Late payments accrue interest at 2% per calendar month or part thereof.

12.2 Dishonoured payments incur a £20 administration charge per item.

​

13. Limitation of Liability

13.1 Nothing limits liability for death/personal injury caused by negligence or breach of

statutory rights.

13.2 Subject to 13.1, the Company's total liability does not exceed the value of goods

supplied under the contract. The Company and fitters are not responsible for pre-existing

damage, hidden defects (e.g., pipes/cables), normal disturbance/dust, or valuables not

protected/removed.

14. Governing Law

14.1 These Terms are governed by the laws of England and Wales, subject to the exclusive

jurisdiction of the English courts.

​

By accepting a quotation or placing an order, you confirm you have read, understood, and

agree to these Terms.
